1. About these terms and who we are
YoCreate is operated by ZANTEMARK LIMITED, a company incorporated in the Republic of Cyprus (registration number HE426044, VAT CY10426044N), with its registered office at Arch. Makariou III, 195, NEOCLEOUS HOUSE, 3030 Limassol, Cyprus (“YoCreate”, “we”, “us”).
By creating an account, accepting an invitation, entering into an agreement, or otherwise using the platform at yocreate.com (the “Service”), you agree to these Terms of Use. If you do not agree, do not use the Service.
2. What YoCreate is
YoCreate provides an integrated advertising and campaign-management service. A client engages YoCreate as a single commercial counterparty to plan, coordinate, and deliver an influencer-marketing campaign, and YoCreate is responsible for delivering that campaign as a whole. In delivering a campaign, we exercise our own commercial discretion over how the campaign is implemented and which creators and suppliers are engaged.
To deliver campaigns we engage content creators and other suppliers as part of our own operational delivery model (see section 4), and we use the platform to plan campaigns, brief and coordinate creators, track delivered content and its performance, enter into electronic agreements, and manage invoicing and supplier payments. We are not a bank, a tax advisor, or a legal advisor, and nothing in the Service is financial, tax, or legal advice.
3. The people on the platform
The Service is used by several types of user:
- Clients (Brands) — businesses that engage YoCreate to plan and deliver advertising and influencer-marketing campaigns.
- Creators — individuals or companies that YoCreate engages as suppliers to contribute content and related services to a campaign.
- Managers — scouts and influencer managers who help YoCreate source and coordinate creators.
- Administrators — YoCreate operations staff who govern accounts, approvals, and compliance.
In these terms, a “Campaign” is an advertising or influencer-marketing initiative that a client engages us to deliver, and a “Collab” is an individual creator engagement that forms part of a Campaign.
4. How an engagement works
A client engages us to deliver a Campaign under a campaign or services agreement. Under that agreement:
- the client pays YoCreate for an overall campaign or service package;
- YoCreate retains commercial discretion over how the Campaign is implemented and which creators and suppliers are engaged to deliver it;
- creators and other suppliers are engaged by YoCreate as part of its own operational delivery model, under separate agreements between YoCreate and each creator or supplier;
- payments made by YoCreate to creators and suppliers are YoCreate's own contractual supplier payments connected to delivering the Campaign — they are not payments made on behalf of the client, and the client does not pay creators directly through the Service.
Where a creator is engaged for a Campaign, the commercial terms of that engagement — deliverables, fees, usage rights, and timing — are set out in the agreement between YoCreate and the creator, signed through the Service. Creators contract with and are paid by YoCreate, not by the client.
5. Eligibility
You must be at least 18 years old and have the legal capacity to enter into binding agreements in your jurisdiction. If you use the Service on behalf of a company or other organisation, you represent that you are authorised to bind that organisation to these Terms.
6. Your account and information
You agree to provide accurate, current, and complete information when creating an account or submitting profile, tax, or payment details, and to keep that information up to date. You are responsible for all activity under your account and for keeping your credentials confidential. Access to features is governed by the role assigned to your account, and you agree not to attempt to access data or actions outside your role.
7. Client obligations
As a client, you engage YoCreate to deliver a Campaign and agree to:
- provide accurate briefs, brand materials, and approvals, and the information we need to invoice and account for the Campaign;
- pay our fees for the campaign or service package in accordance with the applicable agreement;
- ensure that the campaign brief and any materials you supply are lawful and do not infringe anyone's rights.
8. Creator obligations
As a creator, you are engaged by YoCreate as a supplier and agree to:
- deliver the agreed content and services to the standard and on the timing set out in your agreement with us;
- provide accurate tax and banking details, and remain responsible for your own tax obligations;
- ensure your content is lawful, original or properly licensed, and complies with applicable advertising and platform rules — including making any disclosures required for sponsored content (for example, marking content as advertising).
9. Content and usage rights
Creators are responsible for the content they produce. The rights to use that content are granted to YoCreate under each creator's agreement, so that we can use it and make it available to the relevant client as a deliverable of the Campaign. Beyond what is necessary to deliver the Campaign and operate the Service — storing, displaying, and transmitting submitted content — we do not claim ownership of a creator's wider body of work.
10. Fees and reconciliation
Clients pay YoCreate for the campaign or service package in accordance with the applicable agreement and pricing plan. Amounts we receive from a client are consideration for our services, not funds held to the client's order. Where the final cost of delivering a Campaign differs from the amount invoiced, any difference is treated as a pricing adjustment or reconciliation item under the agreement — it is not a redeemable client balance, and the Service does not provide any wallet or stored-value functionality.
Creators are paid by YoCreate for the content and services they supply, in accordance with their own agreements with us. Third-party payment and currency-conversion providers may apply their own fees and exchange rates to those payments.
11. Acceptable use
You agree not to use the Service to:
- engage in any activity that is illegal in your jurisdiction;
- launder funds, evade taxes, or circumvent sanctions or anti-money-laundering rules;
- impersonate another person or misrepresent your affiliation;
- upload unlawful, infringing, or malicious content, or submit false performance metrics;
- scrape, probe, or interfere with the Service's operation, or attempt to access it through means other than the supplied interfaces.
12. Electronic signatures and confirmations
When you sign an agreement or confirm an action through the Service, you are doing so using an electronic signature mechanism (one-time-passcode verification of a controlled email address, plus a recorded click, processed through our e-signature provider). You agree that this constitutes a valid signature under applicable e-signature laws (including eIDAS in the European Union and the ESIGN Act in the United States), and that the audit record we generate — including the verified email address, timestamp, and IP address — is admissible evidence of your action.
13. Third-party services
The Service relies on third-party providers — including electronic signature, transactional email, sign-in, cloud hosting, file storage, and payment and currency-conversion providers — to deliver its features. Your use of those features may also be subject to those providers' own terms. We are not responsible for the acts or omissions of third-party providers.
14. Disclaimers
The Service is provided on an “as is” and “as available” basis. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet any particular requirement.
15. Limitation of liability
To the maximum extent permitted by law, YoCreate's aggregate liability for any claim arising out of or relating to the Service (as distinct from a campaign or creator agreement, which is governed by its own terms) is limited to the greater of (a) the fees paid to YoCreate by the claimant in the 12 months preceding the claim, or (b) US$100.
We are not liable for the failure of a third-party payment or service provider, or for indirect, incidental, special, consequential, or punitive damages.
16. Indemnity
You agree to indemnify and hold YoCreate harmless from any claim, loss, or expense (including reasonable legal fees) arising out of your breach of these Terms, your unlawful use of the Service, or your violation of any third party's rights.
17. Suspension and termination
We may suspend or terminate access to the Service if these Terms are breached, if continued operation would create legal or security risk, or if required by law. You may stop using the Service at any time; account closure is available on request. Provisions that by their nature should survive termination — including fees due, liability limits, and indemnities — will survive.
18. Changes to these terms
We may update these Terms from time to time. Material changes will be communicated by email to the address on file. Continued use of the Service after the effective date of an updated version constitutes acceptance.
19. Governing law and jurisdiction
These Terms are governed by the laws of the Republic of Cyprus, without regard to its conflict-of-laws rules. The courts of Cyprus have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except where mandatory consumer-protection rules in your country of residence grant you a different forum.
